REQUEST FOR COMMENTS/DISCUSSIONS & SUGGESTIONS FOR REVISION: These bylaws were last updated on October 22, 2007. The Senate is soliciting your comments and suggestions or proposed revisions to make the provisions relevant and more responsive to our current needs.

College of Micronesia – FSM Faculty/Staff Senate Bylaws
ARTICLE I
MEMBERSHIP
Section 1. All COM-FSM employees, including full-time and part-time, are members of the COM-FSM Faculty/Staff Senate (hereafter referred to as the Senate), with the exception of the President of COM-FSM. [See Comment #6 below]
ARTICLE II
Donation
Section 1. Ten dollars annual donation [CHANGE TO annual membership fee - See Comment #8 below] is suggested from each member. [ADD statement to specify purpose - See Comment #4 below] [ADD statement 'The purpose for which the annual membership fee is collected is to finance all expenses attributable to: (1) forwarding the causes for which the faculty-staff senate was established, and (2) fostering fellowship among all members.' - See Comment #8 below] [For manner of collection or payment - See Comments #3, #8, and #9]
ARTICLE III
POWER AND FUNCTIONS
Section 1. The Senate serves as a forum to discuss and debate new and existing policies with respect to all issues affecting the College, especially those affecting faculty and staff. [See Comment #2 below] [See also Comment #10 below]
Section 2. Through its appointments of faculty and staff representatives to the College’s standing committees and other decision-making bodies, the Senate makes recommendations to the President and/or the Board of Regents. The Senate also can communicate directly to the President and/or Board of Regents.
Section 3. The Senate receives all information that affects the College from the President and the Board of Regents to fulfill its obligations as an active participant in the decision making process. In particular, the Senate receives information about and is involved in issues discussed in standing committees.
Section 4. The Senate empowers its President or other designated representative to represent the Senate on matters affecting its membership at meetings with the Board of Regents, administrative agencies, political entities and other groups.
Section 5. The Senate encourages professional development at COM-FSM by identifying areas and developing plans to promote such professional development and by presenting such plans to appropriate authorities.
Section 6. The Senate is committed to fair grievance procedures and will support Senate members in the event that administrators fail to implement a decision resulting from a grievance procedure.
ARTICLE IV
EXECUTIVE STRUCTURE
Section 1. Executive Committee and Officers. The officers of the Senate are the President, Vice President, Secretary, Treasurer, and twelve members at-large. [See Comment #7 below] . These officers comprise the Executive Committee which is elected by the voting membership of the Senate. Only full-time employees of the College of Micronesia – FSM are eligible to hold the offices of the Senate.
Section 2. Elections of Executive Committee and Officers. Elections are held at the end of the academic year. Nomination and voting for officers are by secret ballot. Vacancies are filled by special elections. The Executive Committee elects the officers of the Senate. Officers cannot serve more than three consecutive terms on the executive committee.
Section 3. Term of Office. Term of office is for one year.
Section 4. Duties of Officers. The duties of the COM-FSM Faculty/Staff Senate Officers are as follows:
The Faculty Subcommittee is comprised of all the at-large faculty members and has the following mandate: [See Comment #5 below]
The Staff Subcommittee is comprised of all the at-large staff members and has the following mandate:
Section 4. The Executive Committee. The Executive Committee is responsible for the administrative affairs of the Senate. The Executive Committee draws up an agenda for each meeting based upon the requests of the members and in response to reports and information coming to its attention. The Executive Committee can act for the Senate between meetings. This includes the power to recommend policies and speak for the Senate. If no policy exists, the Executive Committee may take action as it deems in the best interest of the Senate.
Section 5. Executive Committee Membership. The Executive Committee consists of the President, Vice President, Secretary, Treasurer, and twelve [change to TEN; include specifications for election - See Comment #7 below] at-large elected members from the voting membership.
Section 6. Recall. Executive Committee members may be recalled by 60% vote of those attending the meeting. Two weeks’ notice of a recall vote must be given to the committee member(s) subject to recall. Voting is by secret ballot.
Section 7. Five Sites. In addition to the six [Reduce to four - See Comment #12 below] members from the National Campus, one staff member and one faculty member from each site will be elected at the end of each academic year by the Senate members of their respective sites to serve as members of the Executive Committee. [Change site(s) to CAMPUS(ES) - See Comments #3 and #9 below] [See also Comment #12 below]
ARTICLE V
MEETINGS
Section 1. The policy regarding meetings for Executive Committee is as follows:
The policy regarding Faculty/Staff Senate general meetings is as follows:
c. Voting is by secret ballot and/or email depending on the issue.
1. All members of the Senate have voting rights.
Section 2. Quorum. A quorum for general meetings requires 18 members in attendance at the opening of the meeting. Business cannot be conducted with fewer than 12 members in attendance. [See Comment #12 below - ARTICLE V, Section 2 - Quorum]
ARTICLE VI
COMMITTEES
The President may propose to the membership of the Senate the creation of standing and ad hoc committees from time to time. Members for these committees are to be selected by the President subject to the approval of the Executive Committee.
ARTICLE VII
AMENDMENTS
These Bylaws can be amended by two-thirds of those voting in any meeting. Public notice is to be posted at least one week in advance of any impending vote on a proposed amendment.
ARTICLE VIII
RATIFICATION
Section 1. These Bylaws are ratified if two-thirds of the members present vote in favor of adoption. One week’s notice of the ratification vote must be given. Members are to receive copies of the proposed Bylaws to study one week prior to the vote. [Define 'abstention' - See Comment #12 below]
Section 2. Effective Date. These Bylaws take effect immediately upon approval.

ARTICLE I - MEMBERSHIP states that the President is not a member of the Senate.
PROPOSED AMENDMENT TO THE BYLAWS:
DELETE "The President of COM-FSM does not have voting rights" in ARTICLE V.
The Faculty Subcommittee is comprised of all the at-large faculty members and has the following mandate:
Gather opinions and concerns from the faculty and speak for faculty members on matters of concern to the faculty. The Faculty Sub-Committee may speak on behalf of the faculty without prior approval of the Senate president.
I believe there should be something that they can called the faculty together to act on academic concerns that are handled most places by an Faculty Senate.
If we review the Section 1 ARTICLE IV EXECUTIVE STRUCTURE it says that “The officers of the Senate are the President, Vice President, Secretary, Treasurer, and twelve members At-large. These officers comprise the Executive Committee which is elected by the voting membership of the Senate.” And Section 5 of the ARTICLE IV EXECUTIVE STRUCTURE also says that “The Executive Committee consists of the President, Vice President, Secretary, Treasurer, and twelve at-large elected members from the voting membership.”
According to these sections all At-large twelve members of present Faculty and staff senate are also part of the Senate’s Executive Committee because as far as I know we have not elected among us any specific members to serve as the members of Senate’s Executive Committee.
Therefore, we need to include specifications for the election of Senate’s Executive Committee including the number of people serving in the Senate’s Executive Committee and the quorum.
Also the numbering under Section 4. Duties of Officers. needs to be corrected. edited 16:05, 24 Feb 2012

ARTICLE IV, Section 4 (c) - Duties of Officers - Secretary:
Distribution and correspondence, by definition, include keeping all members (especially those at campuses other than the National Campus) abreast of news – agenda, minutes, whatever else qualifies as correspondence.
ARTICLE IV, Section 4 (d) - Duties of Officers - Treasurer:
I assume that funds generated and funds expended will be reported at every meeting. So, for the past four years, what have been these funds generated and expended? I have seen no report. So, question: Have there been reports made?
ARTICLE IV, Section 7 - Five Sites:
Section 7 bothers me a lot. For one thing, it has an air of superiority on the part of the National Campus. To some people, the label “sites” may mean nothing, but there are too many others who consider the term offensive. For instance, Chuuk Campus is not a site; it is a campus. Amend the language of Section 7 to denote that there is an egalitarian perception of all six sites (including the National Campus) or all six campuses.
Second, why should there be six members from the National Campus – I would argue that FMI is a viable campus, and so there will be 10 at-large from outside of the National Campus. Cut down the representation from the National Campus to four – 2 faculty, 2 staff – or, more specifically, 2 faculty from the National Campus and 2 staff from the Palikir administration.
ARTICLE V, Section 2 - Quorum:
I will harp on this matter until I am assured that communication, beginning now, is sincere. Sure, we all know that the Senate in the past 4 years has been seriously remiss in its ability to communicate. If the past attitude of non-communication was due to the self-perceived superiority among Nationalo Campus persons, then let it be known NOW that they will have to change to conform to the egalitarian needs of all faculty and staff members throughout the College SYSTEM.
In terms, Article V is okay; however, the phrase “publicly posted” means system-wide communicataion. No matter what you may say about communication, this is my #1 issue with the Senate.
ARTICLE VII - Amendments:
We need a definition of abstention – does it go for “aye” or “nay”? You know and I know that there will a good number of abstentions at any one vote. edited 21:08, 27 Feb 2012
I met briefly today with our treasurer, Ketiner Kenneth. We discussed the Senate funds and looked at the passbooks, bank statements, and receipts - issued (stubs copies) and unissued - that had been turned over to him by the previous treasurer. Based on these documents, a treasurer's report will come out in due time. Meanwhile, here are some preliminary information:
(1) The Senate has a separate savings account with the Bank of FSM - Pohnpei Branch. The last transaction reflected in the passbook was a deposit for $10 on February 4, 2011.
(2) Based on official receipt stub, the last collection was also on February 4, 2011, for $10.
(3) Last year's Senate president (Faustino), Treasurer (Mariana), and Secretary (Ruthy) are the account's authorized signatories. (The change in signatories will have to be tackled and approved in the next Senate Executive Committee meeting.) edited 15:01, 27 Feb 2012

Please do look at a note I left on the Wiki--There are issues as this that are strictly faculty..and a section in the bylaws...that faculty may come together as an academic senate separate from the body as a whole. I want issues as this before the faculty as a whole...heck we can save money by mandatory retirement--or just letting go faculty A-C or god forbid W--Z. But these are matters faculty should weight in on and as a faculty---these are union-like things. But my concern is faculty meeting on academic questions and speaking to matters of curriculum quality... a faculty senate is at the heart (or at least one of the lungs:)) of most institutions of higher education. The whole idea of shared governance begins with the faculty--we share and allow the administration to help run the college.
I do fear that conditions sometimes simply force folks to choose their own interests over a "what's best for the college"--as one faculty put it to me last week "There comes a point..." who wants to sacrifice even more. ?? Rich Womack edited 14:29, 28 Feb 2012
